Service Agreement

A customer is of the opinion that ShopsInCity Retail / Cops Mart (powered by Mechatron TechGear Pvt. Ltd.) has the necessary qualifications, experience and abilities to provide service to the customer. ShopsInCity Retail / Cops Mart is agreeable to providing such service to the customer on the Terms and Conditions set out in this agreement.

IN CONSIDERATION OF the matters described above and of the mutual benefits and obligations set forth in this Agreement, the receipt and sufficiency of which consideration is hereby acknowledged, the Customer and ShopsInCity Retail / Cops Mart (individually the "Party" and collectively the "Parties" to this Agreement) agree as follows:

Services Provided

1. The customer hereby agrees to engage ShopsInCity Retail / Cops Mart to provide the Customer with the following services (the "Services"):

2. The service will also include any other task which the parties may agree on. ShopsInCity Retail / Cops Mart hereby agrees to provide such service to the Customer.

Term of Agreement & Termination

The term of this Agreement will begin on the date of this agreement and will remain in full force and effect indefinitely until terminated.

• To terminate this Agreement, either party is required to inform via info@mechatrontechgear.com, team@mechatrontechgear.com, or call Customer Care at +91 7020979072.
• In the event that either Party breaches a material provision under this Agreement, the non-defaulting party may terminate immediately and require indemnification.
• This Agreement may be terminated at any time by mutual agreement of the Parties.

Compensation & Invoicing

• ShopsInCity Retail / Cops Mart will charge the Customer a Flat Fee based on the type of service and an annual service maintenance charge.
• Invoices submitted by ShopsInCity Retail / Cops Mart to the Customer are due within 30 days of receipt.
• In the event of early termination before completion of services, ShopsInCity Retail / Cops Mart will be entitled to pro-rata payment for work done provided there is no breach of contract.
• Compensation does not include GST or other applicable duties required by law, which will be charged in addition.

Confidentiality & Intellectual Property

Confidential Information refers to proprietary business data, accounting records, business processes, and customer records. ShopsInCity Retail / Cops Mart agrees not to disclose or use any confidential information except as authorized by Customer or required by law. This obligation survives indefinitely upon termination of this Agreement.

All intellectual property and related material developed under this Agreement is a "work made for hire" and will be the sole property of the Customer. The Contractor may not use Intellectual Property for unauthorized purposes.

Indemnification & Governing Law

Each party agrees to indemnify and hold harmless the other party against all claims, losses, damages, liabilities, and expenses arising out of any act or omission of the indemnifying party in connection with this agreement.
